Welcome to Tixbase – a cutting-edge white-label ticketing technology platform (“Tixbase” or the “Platform”), designed to provide a secure, flexible, and transparent environment for event organizers and their customers.
Tixbase provides white-label ticketing solutions that empower Event Organizers to sell tickets directly to their customers.
These Terms of Service (the “Terms” or “Agreement”) govern your use of the Platform, the website https://tixbase.com (the “Website”), and all services and products provided through them (collectively, the “Services”).
The Website, Platform, and Services are owned and operated by Tixbase, Co., a Delaware corporation (“Company”, “we”, “us”, or “our”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.
The Services are offered to users who are at least 18 years of age. By using the Services, you represent that you meet this requirement and have the capacity to enter into a binding contract.
I. The Platform
Tixbase is a white-label ticketing platform that enables Event Organizers—including venues, sports clubs, promoters, and festivals—to manage and sell tickets directly to customers.
Tixbase provides the technology infrastructure, not a peer-to-peer marketplace. Pricing, refunds, resale permissions, and event policies are determined solely by the Event Organizer. Tixbase does not buy, sell, or set ticket prices on its own behalf.
Our Services include primary ticket sales, regulated resale (when enabled by Event Organizers), access control solutions, box office tools, and administrative dashboards.
II. Definitions
- Content – All material available through the Services, including text, images, graphics, software, video, audio, and code.
- Event Organizer – Any individual or entity (such as a venue, sports club, or promoter) responsible for planning and managing events, including ticket sales and entry operations.
- NFT-Ticket – A digital ticket represented as a unique non-fungible token on a blockchain.
- Services – All programs, resources, tools, and content provided by us as part of the Platform.
- User – Any person or party using the Services.
III. User Accounts
1. Account Creation – To access certain features, you may be required to create an account and provide accurate, complete, and current information.
2. Security – You must treat login credentials as confidential and notify us immediately of unauthorized use.
3. Termination – We may suspend or terminate accounts that violate these Terms or applicable law.
IV. Event Tools & Data Access
To provide ticketing services and enable event operations, we process certain personal data (such as your name, ticket details, and purchase status). This processing is necessary for fulfilling your ticket purchase and for legitimate interests such as fraud prevention and event support.
- Ticket Scanning App – Shows limited data (name, ticket validity) to authorized staff.
- Box Office App – Allows authorized staff to verify and reissue tickets.
- Event Admin Dashboard – Provides Event Organizers with controlled access to attendee records to manage entries and create reports.
We enforce strict access controls, role-based permissions, and safeguards to ensure data is used only for these purposes and retained only as necessary. Event Organizers accessing your data are responsible for compliance with applicable data protection laws.
V. Intellectual Property
The Website, Platform, and their content are owned by the Company or its licensors and protected by copyright, trademark, and intellectual property laws. Users are granted a limited, revocable, non-transferable license to use the Services for personal, non-commercial purposes.
“Tixbase” and associated logos and designs are Company trademarks.
VI. Prohibited Uses
You may not use the Services:
- In violation of law.
- To harass, defraud, or harm others.
- To distribute malware or interfere with the Platform.
- To copy, reverse engineer, or misuse proprietary materials.
VII. User Contributions
If you provide content (e.g., comments, feedback), you grant Tixbase a limited, transferable license to use such content to operate and improve the Services. You remain the owner of your content.
VIII. Payments & Fees
1. Fees – Ticket purchases include fees disclosed at checkout.
2. Payment Methods – Supported payment methods may include credit card and cryptocurrency, processed by third-party providers. Tixbase is a non-custodial platform and does not store private keys.
3. Taxes – Users are responsible for applicable taxes.
4. Refunds – Refunds and cancellations are the responsibility of the Event Organizer. Tixbase does not issue refunds unless expressly stated.
IX. Monitoring & Enforcement
We reserve the right to remove content or contributions violating these Terms, suspend or terminate user access, and cooperate with law enforcement when legally required.
X. Disclaimer of Warranties
The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied. We disclaim all warranties of merchantability, fitness for purpose, and non-infringement to the fullest extent permitted by law.
XI. Limitation of Liability
To the maximum extent permitted by law, Tixbase, its affiliates, and service providers shall not be liable for indirect, incidental, or consequential damages. In all cases, liability shall not exceed the fees paid by you in the 12 months preceding the claim.
XII. Indemnification
You agree to indemnify and hold harmless Tixbase, its officers, directors, employees, and partners from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of applicable law.
XIII. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Delaware. Any legal action shall be brought exclusively in the state or federal courts located in Wilmington, Delaware. You waive any objections to jurisdiction or venue in those courts.
XIV. Miscellaneous
- Waiver & Severability – Failure to enforce any provision does not waive rights. Invalid provisions shall be modified to the minimum extent necessary.
- Entire Agreement – These Terms and the Privacy Policy constitute the full agreement.
- Amendments – We may revise these Terms from time to time. Updates are effective upon posting.
